Agreement to Terms

By accessing or using the Apex Equity, LLC ("Apex Equity," "we," "us," or "our") website, platforms, services, or content, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use our services.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.

Apex Equity provides:

• TSP Strategy Alerts: Data-driven investment strategy notifications for Thrift Savings Plan participants
• Tribal Portal: Financial education platform for tribal nations and their citizens
• Resume Builder: AI-powered resume creation tools for military-to-civilian transitions
• Tools and Resources: Calculators, planning tools, and educational materials

2. Educational Purpose and Investment Disclaimer

Not Financial Advice: All content, strategies, alerts, and recommendations provided by Apex Equity are for educational and informational purposes only. Nothing on our website or in our communications constitutes:

• Personalized investment advice
• A recommendation to buy, sell, or hold any security
• Financial planning or wealth management services
• Tax, legal, or accounting advice

No Fiduciary Relationship: We are not acting as your fiduciary, financial advisor, broker, or agent. We do not manage your investments or have access to your accounts.

3. Investment Risks and Past Performance

Risk of Loss: All investments involve risk, including the possible loss of principal. TSP funds, like all securities, are subject to market volatility and may lose value.

Past Performance: Historical performance data, backtested results, and past returns are not indicative of future results. Market conditions change, and strategies that performed well historically may not perform well in the future.

Your Responsibility: You are solely responsible for:

• Evaluating the suitability of any strategy for your personal circumstances
• Understanding the risks involved in any investment
• Making your own independent investment decisions
• Monitoring your investments and portfolio
• Complying with all applicable laws and regulations

4. User Accounts and Subscriptions

Account Creation: To access certain services, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

Subscriptions: Premium services require paid subscriptions. By subscribing, you agree to:

• Pay all applicable fees as described at the time of purchase
• Automatic renewal unless you cancel before the renewal date
• Our refund policy as stated in Section 5

Account Termination: We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activities.

5. Fees, Billing, and Refunds

Subscription Fees: Premium services are billed on a recurring basis (monthly or annually) as selected at signup. Fees are charged at the beginning of each billing period.

Price Changes: We reserve the right to change subscription prices with 30 days' notice. Price changes will not affect current subscribers until their next renewal period.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellations are effective at the end of the current billing period.

Refund Policy:

TSP Alerts Subscription Refunds:

• 7-Day Money-Back Guarantee: New TSP Alerts subscribers may request a full refund within 7 days of their initial subscription date
• One-Time Refund Only: The 7-day money-back guarantee applies only to your first TSP Alerts subscription purchase. Subsequent renewals or new subscriptions after cancellation are not eligible for refunds
• Automatic Cancellation: Requesting a refund will immediately cancel your TSP Alerts subscription and you will no longer receive trade alerts or have access to subscription features
• Refund Processing: Approved refunds are processed within 5-10 business days to your original payment method
• No Partial Refunds: We do not provide partial refunds for unused portions of subscription periods after the 7-day guarantee window has passed

Resume Builder Refunds:

• 24-Hour Money-Back Guarantee: Resume Builder purchases may be refunded in full within 24 hours of payment
• One-Time Refund Per Customer: Each customer (identified by email address) is eligible for only one Resume Builder refund, regardless of the number of purchases made. If you make multiple Resume Builder purchases, only your first refund request will be honored
• File Deletion: Requesting a refund will result in the permanent deletion of all resume files associated with that purchase and revocation of access to any unused resume credits
• Refund Processing: Approved refunds are processed within 5-10 business days to your original payment method
• No Refunds After 24 Hours: Resume Builder purchases are final after the 24-hour guarantee period expires

General Refund Terms:

• Fraud Prevention: Our refund system includes automated fraud detection. Multiple refund requests from the same email address or IP address within a short timeframe will be flagged for manual review
• Abuse Prevention: We reserve the right to deny refund requests that show evidence of abuse, including but not limited to: creating multiple accounts to circumvent refund limits, requesting refunds after consuming the full value of the service, or engaging in patterns of repeated purchases and refunds
• Manual Review: Refund requests flagged for potential abuse will undergo manual review and you will receive a decision within 24 hours
• Payment Method: Refunds are issued to the original payment method used for purchase. We cannot issue refunds to different payment methods or accounts
• Stripe Processing Fees: While we refund your full purchase amount, please note that payment processing fees charged by our payment processor (Stripe) are non-refundable on our end

How to Request a Refund:

• Visit our Support Center and select the appropriate refund request option
• Enter the email address used for your purchase
• Eligible refunds will be processed automatically; ineligible requests will receive an explanation

6. Intellectual Property Rights

Our Content: All content on the Apex Equity website and platforms, including text, graphics, logos, images, software, and data compilations, is the property of Apex Equity, LLC and is protected by U.S. and international copyright laws.

Limited License: We grant you a limited, non-exclusive, non-transferable license to access and use our services for personal, non-commercial purposes. You may not:

• Copy, reproduce, distribute, or create derivative works from our content
• Sell, resell, or commercially exploit our services or content
• Use automated systems (bots, scrapers) to access our services
• Remove copyright notices or proprietary markings
• Share your account credentials with others

User Content: If you submit content (feedback, testimonials, forum posts), you grant us a worldwide, perpetual, royalty-free license to use, reproduce, and display that content.

7. Prohibited Uses

You agree not to:

• Violate any applicable laws or regulations
• Impersonate any person or entity or misrepresent your affiliation

• Interfere with or disrupt our services or servers
• Attempt to gain unauthorized access to our systems

• Use our services to send spam or unsolicited communications

8. Tribal Portal Specific Terms

Tribal Data Sovereignty: For tribal nation partners:

• Tribal member data remains under the control of the respective tribal nation
• Tribes retain ownership of all participant and outcome data
• Data sharing governed by separate tribal partnership agreements
• Aggregated data provided only with explicit tribal authorization

Administrator Responsibilities: Tribal administrators are responsible for managing access permissions, user roles, and data within their tribal environment.

9. Third-Party Links and Services

Our services may contain links to third-party websites or integrate with third-party services. We are not responsible for:

• The content, accuracy, or practices of third-party sites
• Privacy policies of external websites
• Products or services offered by third parties

Your interactions with third parties are solely between you and the third party.

10. Disclaimer of Warranties

AS-IS BASIS: Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of accuracy, reliability, or completeness of content
• Warranties of uninterrupted or error-free service
• Warranties regarding investment results or outcomes

We do not warrant that our services will meet your requirements or that any strategies will be profitable.

11. Limitation of Liability

MAXIMUM LIABILITY: To the fullest extent permitted by law, Apex Equity, LLC and its officers, directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Investment losses or missed opportunities
• Damages arising from reliance on our content or services

CAP ON DAMAGES: Our total liability to you for any claims arising from these Terms or your use of our services shall not exceed the amount you paid us in the 12 months preceding the claim.

Investment Losses: We are not liable for any investment losses, whether resulting from following our strategies, technical errors, delayed alerts, or any other cause.

12. Indemnification

You agree to indemnify, defend, and hold harmless Apex Equity, LLC and its affiliates from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from:

• Your use or misuse of our services
• Your violation of these Terms
• Your violation of any rights of another party
• Your investment decisions or activities

13. Dispute Resolution and Arbitration

Informal Resolution: Before initiating any formal proceedings, you agree to contact us at support@apexequity.net to attempt to resolve disputes informally.

Binding Arbitration: Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, rather than in court.

Class Action Waiver: You agree to resolve disputes individually and waive your right to participate in class actions or class arbitrations.

Governing Law: These Terms are governed by the laws of the United States and the state in which Apex Equity is registered, without regard to conflict of law principles.

14. Privacy and Data Protection

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

15. Communications

By using our services, you consent to receive electronic communications from us, including:

• TSP strategy alerts and notifications
• Account and billing information
• Service updates and announcements
• Marketing communications (you may opt out)

You agree that all electronic communications satisfy any legal requirement that communications be in writing.

16. Modifications to Services

We reserve the right to:

• Modify, suspend, or discontinue any aspect of our services
• Change fees and subscription plans with notice
• Update content, strategies, and features at our discretion

We will provide notice of material changes when reasonably possible.

17. Termination

By You: You may terminate your account at any time by canceling your subscription and contacting us to close your account.

By Us: We may terminate or suspend your access immediately, without prior notice, if you:

• Violate these Terms
• Engage in fraudulent or illegal activities
• Fail to pay subscription fees
• Use our services in a manner harmful to other users or our operations

Effect of Termination: Upon termination, your right to use our services ceases immediately, but provisions regarding intellectual property, disclaimers, and limitations of liability survive.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Invalid provisions shall be modified to the minimum extent necessary to make them valid and enforceable.
